Comercial. Merger and Acquisition

We advise and consult in choosing the best corporate engineering, subsequent acquisition and constitution of Uruguayan commercial companies, economic interest groups and consortiums, and /or constitution and start-up of offshore companies and free zone companies. We actively participate in negotiation processes, drafting of commercial agreements, holding of shareholders or partners meetings, transformation processes, dissolution, liquidation and judicial intervention of commercial companies. We assist in implementing efficient solutions to fight financial difficulties, achieving a restructuring of our clients’ liabilities or obtaining financing through the issuance of negotiable obligations, bidding and/ or judicial asset liquidations. We provide tools for risk reduction in complex and non-complex operations. We participate in merger, absorption and acquisition of companies’ processes. We advise on the first stages of strategic planning identifying business opportunities, contacting strategic investors, coordinating preliminary agreements, drafting confidentiality agreements, memorandum of understanding and letters of intent. We provide due diligence services studying and analyzing the company’s documents and information in order to obtain a detailed image of its standing and have a range of tools to allow us to make a successful acquisition or merger decision. In the final stage, we assist in the conditions of the operations’ negotiation and in the execution of contracts for the sale and purchase of commercial establishments, the transfer of social quotas, shares’ sale and shareholders’ syndication agreements. We also advise our clients on issues related to their access to the market, conflicts arising from situations of unfair competition and competition defense. We also work in ??intellectual property law, ?products and services’ trademarks, trade names, patents and copyright. We give advice and provide assistance to companies with financial difficulties to promote voluntary competitions, in declarations of necessary competitions, requests for competition by the creditor and defense of the creditor for verification of credits.
